Revive Or Reinstate A North Dakota Limited Liability Company

It is easy to reinstate your North Dakota LLC. There is no form, so all you have to do is file the past due annual report and fee plus a reinstatement fee with the North Dakota Secretary of State (SOS). But the reinstatement period is only one year from the date of revocation.

North Dakota allows filing in person, by mail, or by fax and accepts VISA, Master Card, or Discover. You must pay by credit card when fax filing, otherwise, you may pay by check.

How much will it cost to revive a North Dakota LLC?

You have to pay the $100 fee for the report and pay an additional $125 reinstatement fee.

How long does it take the state to process the filing?

Generally, filings can be processed in 30 days.

The North Dakota Secretary of State does not offer expedited processing.

How long does your North Dakota LLC have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new North Dakota LLC?

The North Dakota LLC reinstatement period is only one year. After that, you would have to form a new business. But remember, there is no name protection in North Dakota, so if you wait, you could lose your LLC’s name.

Can I change information at the time of reinstatement?

Changes to officers, managers, or principal address would be made on the annual report submitted at the time of reinstatement. A change of principal address can also be made by phone call or letter. If the entity is changing the North Dakota registered agent alone, it would be done on the change of agent/office form.

How many annual reports can you miss before you can’t revive your North Dakota LLC?

Your LLC’s charter or registration will be revoked six months after the delinquent annual report was due. You can reinstate a business within one year of that revocation. So you can miss two annual reports, but if you don’t apply for reinstatement after that, you won’t be able to revive your North Dakota LLC.
