How to file a Virginia Corporation Amendment:

Use Virginia Form SCC710N, Articles of Amendment – Changing the Name of a Virginia Stock Corporation by Unanimous Consent of the Shareholders.  Complete and file this form strictly for amending the name of your Virginia Corporation. File it by mail or in person.  To amend your principal business address or change your registered agent, you file a separate and free form with the Commission.  For any other amendments adopted, file Articles of Amendment with the Commission by mail or in person. Form LLC1014, Guide for Articles of Amendment is a guide to help you draft your corporation’s articles of amendment.  You must be current with annual registration fees to the Commission before you may file any amendments.  This document must be signed by the chairman or vice-chairman of the board of directors, the president or any other officer authorized to act on behalf of the corporation.

Can you re-state the initial articles instead of filing an amendment?

Yes.  You draft and file articles of restatement following the format outlined on Form SCC711, Guide for Articles of Restatement of a Virginia Stock Corporation. It must be signed by the chairman or vice-chairman of the board of directors, the president or any officer authorized to act on behalf of the corporation. The filing fee for the Articles of Restatement is $25.00 plus any additional charter fee amount required by an increase in the number of authorized shares of the corporation.

Are there any specifics you can or can’t include with a Virginia Corporation amendment?

You may amend any article of incorporation except your business name, your principal business address and your registered agent.  Virginia has separate forms for those changes.

How much does a Virginia Corporation amendment cost?

The filing fee for Articles of Amendment – Virginia Stock Corporation, is $25.00 plus any additional fees if there is an increase in shares.
