Late Fees: Iowa doesn’t charge late fees for failing to file a biennial report; however, your business may be administratively dissolved or revoked if no report is submitted within 60 days following your due date. |
Filing Your Iowa Biennial Report
The Iowa Biennial Report can be filed online or by mail. Either way, you’ll need to visit Iowa’s Fast Track Filing System.
- You can log in using your Fast Track username and password, create a new account by clicking “Sign Up,” OR choose to file without logging in at all.
To File Online OR With a Paper Form (using a login):
- Once you are successfully logged in, click “File A Document” under the heading “Business Filings.”
- Then, click “Biennial Report” under the heading “Existing Businesses.”
- A box will appear asking for your business name and to indicate if you would like a paper form.
- After you’ve entered in your information, click the “Search” button.
- Select your business from the search results. This will immediately begin the filing process.
To File Online OR With a Paper Form (no login):
- On the Fast Track Filing homepage, select the “Click here to file biennial report (no account required)” link.
- A box will appear prompting you to enter your business name. If you want to print a paper form, click “yes” next to the “Paper Filing” button.
- After you’ve entered your information, click the “Search” button.
- Select your business from the search results and begin the filing process.
The following is a list of all the information you’ll need to include, update, and/or verify on your Iowa Biennial Report:

Business name.

Registered agent name and address. You can’t change this information on a biennial report. If you need to update your Iowa Registered Agent, you’ll need to file a Statement of Change of Registered Office And/Or Registered Agent form. There is no filing fee.

Principal address.

Foreign business information: state you initially formed your company in.

Names/address of the president, secretary, treasurer, and at least one member of the board of directors – corporations only.

Signature/title of the person filing the biennial report.
When you reach the “final review” page, you will have the option of printing your form OR submitting online. If you choose to file online, you must pay the filing fee with a credit card. Mailed submissions must include a check or money order.

Are there initial reports in Iowa?
No, Iowa does not require businesses to file an initial report.
When is my first Iowa Biennial Report due?
Your first Iowa Biennial Report will be due April 1 the first odd or even numbered year AFTER you form your business. So, lets say you own a corporation that was formed on April 25, 2020. This means your first Iowa Biennial Report won’t be filed until April 1, 2022. But, if you formed any other entity (nonprofit, LLC, or LP) on April 25, 2020, then your first Iowa Biennial Report must be filed by April 1, 2021.
Are there late fees or penalties if I don’t file my Iowa Biennial Report?
Iowa won’t charge you a late fee for failing to file an Iowa Biennial Report; however, your business may be administratively dissolved or revoked if no report is filed within 60 days following your due date.
How long does Iowa Biennial Report processing take?
Online filings are processed immediately. Mailed filings take 7-14 business days.
Who can file an Iowa Biennial Report?
