The state of Michigan requires all Michigan corporations to file a yearly annual report, while LLCs file a very similar document called an annual statement. Michigan LPs, LLPs, and LLLPs aren’t required to file annual reports. All annual reports and statements must be filed with the Michigan Department of Licensing and Regulatory Affairs (LARA). How to File Your Michigan Annual Report
These are the steps you’ll need to take in order to file your Michigan Annual Report:
- Determine your filing due date and fee.
- Fill out your annual report online OR submit a paper form.
- Submit your report and fees to the Michigan Department of Licensing and Regulatory Affairs (LARA).

Late Fees: Michigan corporations are the only business entities that are assessed a late fee. They’ll be charged an additional $10 each month they’re delinquent. However, all companies will be automatically dissolved or revoked if no report is filed after two years. |
Filing Your Michigan Annual Report
Michigan Annual Reports must be submitted using the LARA Corporations Online Filing System OR by mailing the pre-filled form the state will send your resident agent 90 days prior to your filing due date.
To File Online:
- Go to the LARA Corporations Online Filing System.
- Enter your customer ID number and PIN. If you don’t have either number, click the “CID/PIN Recovery page” link to submit a request.
- Once you’re successfully logged in, you’ll immediately begin the filing process.
To File by Paper:
- 90 days prior to your due date, the Michigan LARA department will mail your resident agent a pre-filled annual report form. Update/confirm the information and mail it back to the Michigan LARA, Corporations Division.
You’ll need to include, verify, and/or update the following information on your Michigan Annual Report:
Corporations/Nonprofits:
- ID number assigned by LARA. You can easily find this by searching the Michigan Business Database.
- Business name.
- Resident agent name and address.
- Director, president, secretary, and treasurer names and addresses.
- Brief statement of purpose.
- Foreign corporation information. Include the total number of authorized shares and most recent percentage used to calculate the Michigan business tax.
- Signature and title of person filing the annual report.
LLCs:
- ID number assigned by LARA.
- Business name.
- Resident agent name and address.
- Signature and title of person filing the annual report.
Online filings can be paid for by credit card. Paper filings must include a check or money order made payable to “State of Michigan.”
