How to file a Connecticut Corporation Amendment:

Submit one Certificate of Amendment to the Connecticut Secretary of the State (SOTS). Connecticut provides amendment forms but you are not required to use them. It is okay to draft your own amendments if they contain all the required information. If you use the form, type or print your responses in ink. You do not need to have original signatures.

You can file amendments in person, by mail, or by fax. You can file in person between 8:30 and 4:00. If you fax your documents, remember to include the Fax Filing Service Request cover sheet with your Visa or MasterCard information. Otherwise, SOTS accepts Visa, MasterCard, check or cash. Make checks payable to “Secretary of the State.”

Can you re-state the initial articles instead of filing an amendment?

Yes. You can restate the initial articles. All you have to do is check the box in section 2 of the Certificate of Amendment form to restate or amend and restate your articles. You need to include all of your articles so you may want to attach an additional 8 ½ x 11 sheet of paper.

There is a $100 filing fee to restate your certificate of incorporation.

Are there any specifics you can or can’t include with a Connecticut Corporation amendment?

You have to file an amendment to change the name of your Connecticut corporation. To change the corporation’s name, just list the new name in section 3 of the SOTS form.

How much does a Connecticut Corporation amendment cost?

There is a $100 fee to file a Certificate of Amendment (also known as articles of amendment) for a Connecticut corporation.
Expedited service is available for an additional $50 fee.

How long does it take the state to process a Connecticut Corporation amendment?

Normal Processing: 3-5 business days
Expedited Processing: within 24 hours of receipt (include an Expedited Service Request form)

Can you change the Connecticut Corporation officers or directors on an amendment?

Yes. You can change the corporations officers and directors by filing an amendment, but amendments are fairly expensive.

You are required to report all of your officers and directors on the corporations annual report. If you need to change that information after you have filed your annual report, you can submit an Interim Notice of Change of Officer/Director form. The interim change form is much cheaper to file.

Can you change the Connecticut registered agent on the amendment?

No. You can’t change your Connecticut registered agent by filing an amendment. You have to change your Connecticut registered agent by filing a domestic Change of Agent form.

Can you change the principal office address and/or the mailing address on an Corporation amendment?

Yes, you can change the principal address on an amendment but amendments are so expensive so it doesn’t make sense to file one just to make that one change. You can always just file a Change of Business Address. The form is the same for all entities and is relatively inexpensive. You can also change your principal address on your Connecticut Annual report.
