The Georgia Secretary of State has the power to administratively dissolve or terminate your LLC if you fail to do any of the following:

  • file annual registration for 60 days
  • appoint or maintain a registered agent for 60 days
  • properly file paperwork for changes to the registered agent or office
  • pay any fees required by law

  • any late annual reports and penalties

The Georgia Reinstatement Application is only available by request. You can request the form online through an account with Georgia’s eCorp system. You can also mail a written request to the Corporations Division.
