Amending Articles of Organization for a Maryland LLC
A Maryland LLC is formed by filing Articles of Organization to register information about your company with the Maryland State Department of Assessments and Taxation. As your LLC grows and changes, state records about your business may need to be updated to stay compliant with state laws. Changes to Articles of Organization can be made by filing Articles of Amendment for a Limited Liability Company.
When should I file a Maryland LLC Articles of Amendment?
A Maryland LLC can file Articles of Amendment to update any information in the Articles of Organization—or to remove any optional provision that was previously attached to the Articles. Optional provisions can include things like member or manager names and contact information, whether the LLC is member-managed or manager-managed, a duration for the LLC to exist, or any other provisions outside of the regular information required for Maryland Articles of Organization.
You can use an amendment to update—but not remove—any of the following mandatory information on your LLC’s Articles of Organization:
- The LLC’s name
- The purpose the LLC was created for
- Principal address of the LLC
- Name and address of registered agent (referred to as “resident agent” in Maryland)
However, while you can change your registered agent’s name and office address or the principal office address of your business with an amendment, you can also change any or all of that information with a Resolution to Change of Principal Office or Resident Agent for just $25. This method is less expensive than paying the $100 fee for filing Articles of Amendment, so unless you have additional parts of your Articles of Organization to amend at the same time, using a resolution to change office or registered agent information makes better financial sense.

Maryland LLC Articles of Amendment Form Information
Compared to many states, Maryland has fairly minimal requirements when filing Articles of Amendment. All you need to provide is the following information:
- Business name: List your LLC’s full name.
- Amendments to LLC charter: List the text of the amendment or amendments to be adopted, updated or removed. You can attach additional pages if extra space is necessary.
- Signatures: You’ll need to include the signature of a person who is authorized to act on the LLC’s behalf, and if the amendment names a new registered agent, their signature is required as consent to serve the LLC in that capacity.

Currently, in-person business filings are not available in Maryland. In-person filings will resume later in 2023 when a new Department of Assessments and Taxation customer service location opens.
It costs $100 to file your Maryland Articles of Amendment. A 3% credit card fee or $3 eCheck fee is also required. You can pay an additional $50 to get expedited processing for your Articles.
Standard processing for Maryland business registration filings is roughly 8 business weeks after receipt by the Department of Assessments and Taxation. Expedited document processing time varies, but usually takes about 4 weeks.
