The Oregon Secretary of State has the power to administratively dissolve your LLC if you fail to do any of the following:

  • file annual renewals
  • appoint and maintain a registered agent
  • pay any fees or taxes

In order to get back into business, you can apply for reinstatement. To revive or reinstate your Oregon LLC, you’ll need to submit the following to the Oregon Secretary of State:

  • a completed reinstatement application
  • the $100 reinstatement fee
  • all fees owed for missed annual renewals

What information do I need for the Oregon reinstatement application?

To complete the Oregon reinstatement application, you’ll need to provide your LLC’s name and date of administrative dissolution. The reinstatement application includes a statement affirming that you’ve fixed the problems that led to dissolution, and it must be signed by a member.

How do I file the Oregon reinstatement application?

You can only access the Oregon reinstatement application online by searching for your business on the Business Registry Web Renewal system with your business registry number. From there, you can either reinstate online or generate and print reinstatement forms.

If you choose to generate and print the forms, you can submit them in person, by mail, or by fax. Payment options depend on how you plan to file:

Mail: Check or money order (Payable to “Secretary of State”)

Fax: Credit or debit card (include the Oregon fax cover sheet)
