How to File Your Minnesota Annual Renewal:

It is easy to file your Minnesota annual report online. Just look up your MN LLC, corporation, or other business at the secretary of state website and select “File an Amendment or Renewal.” See the link below.

If you would rather deal with the paper form, they are available on the MN Secretary of State’s website and in your online account when you sign up for registered agent service in Minnesota with Northwest. Each business type has a different annual report form. You deliver it by mail or in person with the filing fee. In person submissions get charged an additional $20 expedite fee.

You cannot change your registered agent or your principle business address on your annual report in Minnesota. You will have to attach an amendment online or to the paper annual report form. There is an additional $50 fee.

MN Charities register with the attorney general and file an annual report each year. Send it by mail or in person with your current IRS Form 990 attached and the filing fee included.

What is the cost to file the Minnesota annual report?

  • MN Domestic Corporations: no fee
  • MN Foreign Corporations: $115 by mail, $135 online.
  • MN LLCs and PLLCs-domestic and foreign: no fee

  • MN LLPs-domestic and foreign: $135 by mail, $155 online.

When is the Minnesota Annual Report Due?

MN Corporations, PCs, domestic Nonprofits, LLCs, PLLCs, LPs and LLPs have the entire year to file the report, as long as you file a report by December 31 each year.

Charities are required to file an annual report with the Minnesota Attorney General by the 15th day of the seventh month after fiscal year end, typically July 15th.

Does Minnesota have initial report requirements?

No, you have the entire next year after your filing year in Minnesota to get your first annual report submitted.

Late fees?

There are no late fees for corporations, LLCs, partnerships or nonprofits in Minnesota. But there is a $25 reinstatement fee ($45 if filed online) if you fail to file the report by the end of the year. Since you have the entire year to file, you will be dissolved or revoked on January 1st.

MN Charities have a $50 penalty if they miss their due date.

How do I get notified?

Minnesota Secretary of State sends out reminder emails and postcards, usually to your MN registered agent.

Who can file Minnesota annual reports?

After starting your business in Minnesota, anyone with authority can sign.
