How To Resign As A Registered Agent In The District Of Columbia

To resign as a registered agent in Washington DC, deliver a copy of your Statement of Registered Agent’s Resignation to the company that you had been representing. Then, within ten days of notifying the company, submit two copies of the statement to the District of Columbia Department of Licensing and Consumer Protection (DLCP).

There is an official DLCP form for registered agent resignation, but pay close attention because there are different parts of the form to fill out depending on if the Washington DC registered agent is resigning from only one company or multiple companies. There is no fee to resign as a registered agent in the District of Columbia. Standard processing time for mailed-in filings is fifteen business days, but filings delivered in-person will be expedited for additional fees.

The Steps To Resign As A District Of Columbia Registered Agent:

  1. To resign, the District of Columbia registered agent must deliver a copy of their Statement of Registered Agent’s Resignation to the company they are resigning from.
  2. No more than ten days later, the agent must submit two copies of their Statement of Registered Agent’s Resignation to the District of Columbia Department of Licensing and Consumer Protection (DLCP).
  3. The Corporations Division will return the file-stamped copy of the statement to the resigning DC registered agent and send a copy to the company.

The District of Columbia registered agent’s resignation is effective thirty days after filing with the Department of Licensing and Consumer Protection, Corporations Division or when the entity appoints a successor agent, whichever comes first.

Is It Necessary To Notify The Company Before Filing Resignation With The District Of Columbia?

Yes. On the Statement of Registered Agent’s Resignation, the Washington DC registered agent must certify that they gave written notice to the entity at its last known registered office in the District and, if different than its registered office, its last known principal office ten days or less before submitting their resignation to the DLCP.

Is There A Fee To Resign As A Washington DC Registered Agent?

No. There is no fee to resign as a registered agent in the District of Columbia.

Can The District Of Columbia Registered Agent File Their Resignation Online?

No. Although the Washington DC Department of Licensing and Consumer Protection (DLCP) has a web portal for online business services called CorpOnline, the resignation of a DC registered agent is not currently one of the services available online.

How Long Does It Take To Process A Registered Agent Resignation In Washington DC?

The resignation of a DC registered agent delivered by mail will be processed by the DLCP in fifteen business days. Filings delivered in-person are expedited for a fee. Expedited three-day service costs $50 and same-day service costs $100. To expedite service, an Expedited Service Action Form must be included. The expedited service fee is required for all walk-in customers that receive service at the Business License Center. Make checks payable to “DC Treasurer”. Expedited service may be limited or not available for mailed-in filings.

To change registered agents, the company must submit two copies of a Statement of Change of Registered Office or Registered Agent to the DLCP. Include payment for the appropriate fee depending on entity type.
