How To Resign As A Registered Agent In New Jersey
To resign as a registered agent in New Jersey, you must send written notice of your resignation by certified mail, return receipt requested, to the company from which you are resigning at its last known address and make an affidavit that the notice of resignation has been served to the company. Then, submit a Certification of Resignation of Registered Agent and the affidavit to the New Jersey Department of the Treasury online, by mail, fax or in-person.
There are separate forms depending on entity type (corporation, LLC, LLP) and whether or not a successor agent is appointed. The fees to resign as a New Jersey registered agent are: $25 if no successor agent is appointed, $25 plus $10 per entity if a successor is appointed.

- To resign, the New Jersey registered agent must send written notice of their resignation by certified mail, return receipt requested, to the company they had been representing at its last known address and make an affidavit that the notice has been served to the company. If the resignation cannot be served to the company, the affidavit must state why not.
- Then, submit the Certification of Resignation of Registered Agent and the affidavit to the New Jersey Division of Revenue and Enterprise Services online, by mail, fax or in-person. Make sure to include payment for the appropriate fee(s) and use the appropriate form depending on entity type and whether or not a successor agent is being appointed.
- To submit the form online:
- You must create an account with the State of New Jersey Division of Revenue and Enterprise Services Central Forms Repository as a “forms upload filer”.
- Login to the Central Forms Repository and select the agency you want to submit your PDF form to. Choose “Commercial Recording Division”.
- Select the filing type for the PDF form you want to submit. Make sure you choose the appropriate form depending on entity type and whether or not a successor registered agent is being appointed.
- Type the information into the required fields on the appropriate form for your entity type and situation.
- Click “add attachments” if your form requires additional documents.
- After the form is filled out, save a copy to your computer so you can upload it to the New Jersey Division of Revenue and Enterprise Services Central Forms Repository using the “browse” button.
- Click “Open the Central Forms Repository Home Page to Start the Form Submission Process” to begin your upload.
- Click “Save and Proceed to Payment Processing” to pay upon submission or “Save and Add Payment Later” to pay at a later time.

- Name of individual or firm transmitting the request
- Date of submission
- Credit card number, cardholder name, address and expiration date (or depository account number if not using a credit card)

- Business name associated with the filing
- Total number of pages in the request including the cover sheet

In-person and faxed filings submitted for same-day turnaround must be delivered by 12:30pm, and same-day processing costs an additional $50. In-person filings can also be expedited to two-hour processing ($500 per document) or one-hour processing ($1,000 per document). Mailed-in filings are processed in 3-10 business days.
