How To Resign As A Statutory Agent In Ohio

To resign as a registered agent in Ohio, you must submit a Statutory Agent Update Form to both the Ohio Secretary of State, Business Services Division and the company from which you resign as agent. The resignation must be delivered to the company on or before the date that it is filed with the Secretary of State.

The fee to resign as an Ohio registered agent is $25. Standard processing time for the resignation of an Ohio registered agent is 3-7 business days, but service can be expedited for additional fees.

The Steps To Resign As An Ohio Statutory Agent:

  1. To resign, the Ohio registered agent must send a copy of the Statutory Agent Update Form to the company they had been representing.
  2. Then, the agent must submit the Statutory Agent Update Form with $25 for processing to the Ohio Secretary of State online or by mail.

For a domestic company, the Ohio registered agent’s resignation becomes effective thirty days after filing with the Ohio Secretary of State, Business Services Division. For a foreign company, the registered agent’s resignation becomes effective sixty days after filing.

Items To Include On The Ohio Resignation Of Statutory Agent

The following must be on the Ohio statutory agent’s update form:

  1. Name of individual/company submitting the filing
  2. Option to indicate “To the Attention of”
  3. Return address for stamped filing
  4. Contact phone number
  5. Contact email
  6. Option to opt-in to receiving email updates on business filings from the Secretary of State
  7. Option to opt-in to the Secretary of State Filing Notification System for the business entity
  8. Indicate speed of service requested: regular, expedite 1, expedite 2, expedite 3
  9. Check box (3) to resign as a registered agent and indicate which entity type you represent
  10. Name of entity
  11. Charter, license or registration number of entity
  12. Name of current agent
  13. A statement that you resign as registered agent
  14. Last known address of the entity’s principal office where a copy of this resignation was sent
  15. Name and signature of registered agent

Must The Registered Agent Notify The Company Before Filing Resignation With Ohio?

Yes. The Ohio registered agent must send a copy of the Statutory Agent Update Form that indicates the agent’s resignation to the company at their last known principal office on or before the date that the resignation is filed with the Ohio Secretary of State.

Is There A Fee To Resign As A Registered Agent In Ohio?

Yes. There is a $25 fee to resign as a statutory agent in Ohio. The Ohio Secretary of State accepts cash (in-person only), checks, money orders and credit cards (VISA, MasterCard, Discover, American Express). Make checks payable to “Ohio Secretary of State”.

The same form that the statutory agent uses to resign can be used to appoint a new agent.
