How To Reinstate An Oregon LLC

 

Revive Or Reinstate An Oregon Limited Liability Company

Reinstate your Oregon LLC at the Business Registry Web Renewal page on the Secretary of State’s Website.  See below.  You click on “Step 1” and enter your registry number.  If your business is eligible for reinstatement, you will see a message to click the link and generate your form.  You can find your registry number by searching your business name, in case you’ve forgotten.

If you want to save the price of the overdue reports, you can just file new Articles of Organization, but you will be registered as a new business and your business history will basically be lost.

How much will it cost to revive an Oregon LLC?

The fee to revive your Limited Liability Company in Oregon is $100, plus $100 for every annual report you missed. If you would like a confirmation copy of your filing from the state, add $5.

How long does it take the state to process the filing?

Normal Processing: One week. In Person Processing: One day when filing is delivered to the customer service desk. Fax filing:  One week. If you are forming a new LLC, you can file online instantly.

How long does your Oregon LLC have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Oregon LLC?

In Oregon you can reinstate a business within five (5) years of administrative dissolution. After 5 years, you would have to start over and re-file new Oregon Articles of Organization.  The first step is checking your business name availability.  You name was up for grabs as soon as you were dissolved and listed as inactive.

You can start over with new Articles of Organization any time you want to after you have missed an annual report and are listed as inactive.  This can save you the back fees from missed annual reports, but many businesses decide to go through the renewal process so they don’t lose the history their business has built.

Can you change your Oregon registered agent at the same time on the Oregon reinstatement?

Can you change your members and/or managers at the same time on the Oregon reinstatement form?

Yes.  As part of your reinstatement you must file any missed annual reports. You can provide a change to your members and/or managers on the annual report form as an attachment to your reinstatement.

How many annual reports can you miss before you can’t revive your Oregon LLC?

You can miss up to five (5) annual reports before you can no longer revive your Oregon Company. If you wish to revive your Oregon Company more than five (5) years after your dissolution date, you must file as if filing for the first time. You can bypass your delinquent dues by submitting new Articles of Organization.  The first step is checking to see if your business name is still available.  It is cheaper to form a new LLC, but if you have been in business for a long time, you would lose that history because you would be registered as a new business.
