Revive Or Reinstate A Michigan Limited Liability Company
Michigan allows both foreign and domestic limited liability companies to restore their good standing in the same way. If a Michigan LLC has failed to file annual statements and wants to be restored, it can file a Certificate of Restoration of Good Standing and the annual statements and fees for all of the years they were didn’t file. The Michigan Department of Licensing and Regulatory Affairs (LARA) does not require businesses to use their forms for filing. If you draft your own documents, you have to be aware of what information is required.
LARA provides separate Certificate of Restoration forms for domestic and foreign LLCs. Domestic limited liability companies should file Certificate Restoration of Good Standing, form 770. Foreign limited liability companies use Certificate of Restoration of Good Standing, form 771.
Submit one original and the annual statements to LARA. The original Certificate of Restoration will be mailed back to you after filing. The form cannot be filed online. Restoration forms are available on the LARA website or in your online account immediately when you sign up for registered agent service with Northwest.
You will have to include payment for all the past due fees as well as the filing fee for the certificate. If you file by mail, include a check or money order payable to the State of Michigan. Include the LLCs name and identification number on the check or money order. If you file in person, you may also pay by VISA or MasterCard.

If you are not sure what you owe, you can view filed documents and reports using LARA’s online Business Entity Search. That way you can find out which reports you missed and calculate what fees you may owe before requesting renewal. It is also a good idea to check name availability to find out if your corporate name is still available.

Certificate of Restoration of Good Standing: $50
Annual statement: $25 each
Expedited processing is available for an additional fee:

How long does it take the state to process the filing?
LARA processes Certificates of Restoration of Good Standing in 3-5 business days.

How long does your Michigan LLC have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Michigan LLC?
Since Michigan LLCs are not dissolved by the state when they fail to file statements, you don’t technically need to reinstate an LLC or corporation. However, it’s still important to restore your good standing. If you wait to restore your LLC, you might lose your business name because if you are not in good standing it is not protected!
Can you change your Michigan resident agent at the same time on the Michigan Certificate of Restoration?
Yes. There is a place on the Certificate of Restoration to change your Michigan LLCs resident agent. You can also change your agent on your annual report or by filing a Certificate of Change of Registered Office and/or Change of Resident Agent, with LARA.
Can you change your principal address at the same time on the Michigan restoration form?
No. There is no place on the Michigan LLC Certificate of Restoration form to change your principal address.
Can you change your members and/or managers at the same time on the Michigan restoration form?
The Certificate of Restoration form does not give you the option of changing your members or managers at the time of reinstatement.
How many annual reports can you miss before you can’t restore your Michigan LLC?
Michigan does not automatically dissolve LLCs for failing to file annual statements. A Michigan LLC would be in bad standing after two missing reports. Bad standing can be remedied at any time by filing the reports and paying the fees.
