Late Fees: Hawaii charges a $10 penalty fee for failing to file on time. If you are delinquent for more than two years, your business will be administratively dissolved. |
Filing Your Hawaii Annual Report
The Hawaii Annual Report can be filed online, by mail, or in person.
To file online:
• Go to the Hawaii Business Express – Annual Reports page and enter your business name in the search box.
• Select your business from the search results. Then, click the button that appears to begin your annual report.
To file a paper form:
• Go to the Hawaii Registration Forms, Fees and Information page.
• Under the heading, “Register Online,” you will see a list of business entities. Click the “Info & Forms” link under the type of business you own.
• Click “Complete Listing of all fillable PDF forms.”
• Then, select your appropriate annual report. The form will immediately appear on your screen.
The following information must be included, verified, or updated on the Hawaii Annual Report:
• Business name. You can’t change your business name by filing an annual report. If you need to update/change your business name, you’ll need file an amendment. ($25 for corporations, nonprofits, LLCs and LPs. $10 for LPs and LLLPs.)
• Principal/mailing address.
• State where you initially formed your company (foreign entities only).
• Authorized shares and total shares of stock (domestic corporations only).
• Statement of purpose (required for nonprofits, optional for other businesses).
• Registered agent name and physical address in Hawaii.
• Names and addresses of principals. This could include officers, directors, members, managers or general partners. LLCs will also need to indicate whether they are member or manager-managed.
• Date and signature of person filing the report.
If you choose to file online, you must pay the filing fee with a credit card. Paper filings can be paid with a check, money order, credit card, or cash.

Hawaii is one of the more forgiving states regarding annual reports. If you fail to file on time, you’ll only pay a $10 penalty. Plus, you’ll have two full years to file your missing reports before the state will administratively dissolve your business.
What is the processing time for Hawaii Annual Reports?
