Late Fees: New York doesn’t assess late fees for failing to file a biennial report. However, your business will no longer be in “good standing.” In addition, your business may be administratively dissolved or revoked of its rights to conduct business within the state. |

Filing Your New York Biennial Report
The state of New York requires all businesses to file their biennial reports online. To do so, you’ll want to visit the New York Department of State website. Please be aware that the online filing system is only available Monday through Friday from 6:00 am – 7:30 pm EST.
- On the state website, go to the e-Statement Filing System page.
- Enter your Department of State (DOS) ID number and business name. Then, click “submit.” You can easily find your ID number by searching the New York Business Database.
- Then, you will immediately begin the filing process.
Below is a complete list of everything you’ll need to include, verify, and/or update on your New York Biennial Report.
- Chief Executive Officer name and address – corporations only.
- Principal address – corporations only.
- Information for receipt of service of process – name and address.
- Name, title, and email of person filing the report.
That’s it! Once you have verified everything or made any necessary changes, you’ll need to pay the $9 filing fee using a credit card.
