Late Fees: Oklahoma will assess corporations 10% of the total franchise tax due. In addition, 1.25% interest will continue to accrue each month a tax return is not filed. LLCs and LPs are not charged late fees. However, if you fail to file an annual certificate, your business will no longer be in good standing.

*The filing fee for corporations and nonprofit corporations will be determined by their total franchise tax. Foreign corporations and nonprofits must also include an additional $100 Registered Agent Fee.

Don’t remember when you formed your Oklahoma LLC or LP? You can easily find your anniversary date by searching the Oklahoma Business Database. It will be listed under the heading “Formation date.”

How do I calculate my Oklahoma Annual Franchise Tax?

For every $1,000 of revenue your business earns, Oklahoma’s Annual Franchise Tax will charge you $1.25.

Example: Lets say you own a cute little diner in Tulsa that earns $500,000 each year. Your total franchise tax would be $625 (500 X 1.25).

If your total tax due is $250 or less, you will be exempt from paying the tax. However, you will still be required to submit the tax return. In addition, foreign corporations and nonprofits must also pay a $100 Registered Agent Fee. The maximum franchise tax a corporation will pay is $20,000.

The Oklahoma Annual Franchise Tax and Annual Certificate can be filed online or by mail.

To file your Annual Franchise Tax Online:

To file your Annual Franchise Tax by Mail:

  • On the Oklahoma Tax Commission website, go to the Business Forms page.
  • Scroll down the page until you find “Oklahoma Annual Franchise Tax Return – Form 200.” (Note that foreign non-profit corporations don’t use Form 200. Instead, they use Form 200-N “Foreign Not-For-Profit Corporation Annual Franchise Tax Return.” This is sent directly to the business and can’t be downloaded from the state website.)

Here’s a list of items you’ll need to include, verify, and/or update on your Annual Franchise Tax Return:

  • Business FEIN.
  • Account number. You can find yours by searching the Oklahoma Business Database.
  • Filing due date.
  • State you initially formed your corporation in.
  • Principal address.
  • Officer information. Include full names, addresses, titles, phone numbers, and social security numbers.
  • Franchise Tax. The remainder of the form will be used to calculate your total franchise tax. You will need to know your total assets in Oklahoma as well as anywhere else.

Oklahoma Annual Certificate

To File Your Annual Certificate:

  • On the Secretary of State website, go to the Downloadable Business Forms page.
  • Click on your business type.
  • Then, click “Online” OR click “PDF” under the “Annual Certificate” heading.
  • If you choose to file online, you’ll need to enter your name and email address.
  • Click “Start New” under the “Select a Work Item” heading.

Here’s a list of what you’ll need to include, verify, and/or update on your Annual Certificate:

  • Business name.
  • State you initially formed your business in – foreign LPs only.
  • Principal address.
  • Business email.
  • Signature and title of person filing the report. At least one signature must be of a member/manager OR general partner.

Online filings must be paid using a credit card. Mailed submissions must include a check or money order.
