How to Start a Business in Oklahoma

Articles/Certificate

You file Certificate of Incorporation for an Oklahoma corporation or Articles of Organization for an Oklahoma LLC with the OK Secretary of State.

Federal Tax ID

You obtain a federal tax ID number (FEIN or EIN) with the IRS after you have confirmation and filed articles from the State of Oklahoma showing your approved Oklahoma business.

Oklahoma LLC vs Corporation

LLCs are great for small to medium-sized businesses. Because LLCs have fewer annual requirements, they’re easier to maintain over a long period. Large business owners often choose to start a corporation—having the option to sell stock is key for attracting investors.

But, what about Oklahoma? Any pros and cons for an Oklahoma LLC vs an Oklahoma corporation?

Starting an Oklahoma corporation typically costs less than starting an Oklahoma LLC. The filing fee for the Certificate of Incorporation is a minimum of $50 compared to $100 for the Articles of Organization. However, if the corporation chooses to authorize more than $50,000 in shares, then the initial cost will increase. Both entities will be required to submit some type of annual report—LLCs an annual certificate ($25) and corporations a Franchise Tax Return ($1.25 for every $1000 earned in revenue). So, high income corporations will end up paying more than high income LLCs.

Oklahoma offers LLCs strong asset and privacy protection. Although creditors may obtain a charging order, they can’t participate in management. Meaning, creditors won’t be able to force an LLC to make distributions or be sold off to pay debt. In addition, LLCs are not required to share the names of owners/managers to the public—allowing them to maintain privacy and hold property without personal information appearing on county land records.

If you want a corporation, you file an Oklahoma Certificate of Incorporation:

The Oklahoma Articles of Incorporation must include:

  • A corporate ending such as Inc, corporation, or incorporated.
  • The corporations duration is perpetual unless you state otherwise.

  • The amount of shares authorized.
  • The class of the shares.
  • The par value of the shares.
  • If the incorporators will not be the directors, list the names and addresses of the Oklahoma corporation directors.
  • The name, address, and signature of the Oklahoma incorporator.
  • The registered agent of the Oklahoma corporation.

Oklahoma does not require original signatures on new OK corporation filings. The stamped form will be mailed to the address on the envelope or cover sheet.  If you file online you can print your documents from the OK SOS website.

If you want an LLC, you file Oklahoma Articles of Organization:

To form an Oklahoma LLC, you file Oklahoma Articles of Organization. The LLC Articles of Incorporation cost $100.

The basic requirements of Oklahoma LLC filings are:

  • The business name must have a limited liability company ending or variation of it.
  • New Oklahoma LLC’s name must be different than already registered Oklahoma companies.
  • Duration of the Oklahoma LLC.
  • The Oklahoma registered agent and the physical address.
  • The Oklahoma LLC’s principal address.
  • The name, address, and signature of the LLC organizer.

Oklahoma does not require original signatures on new OK LLC filings. You’ll get a certificate of formation mailed back to you after the state approves your filing.
