How to file a Kentucky Corporation Amendment:

To amend your Kentucky Articles of Incorporation, submit the Articles of Amendment and an exact copy to the Kentucky Secretary of State (SOS). The form is in your online account when you sign up for registered agent service with Northwest. You can also find the form on the SOS website. SOS does not allow you to attach additional documents when their forms do not meet your needs.  They do allow you to draft your own amendments to the Articles of Incorporation.  You can submit the Articles of Amendment and an exact copy to the SOS by mail or in person. You can pay fees by cash, check, and debit or credit. Include a check payable to the “Kentucky State Treasurer.”

Can you re-state the initial articles instead of filing an amendment?

Yes. A corporation can restate its Articles of Incorporation. If the restatement includes a new amendment that requires the approval of the shareholders, it would have to be adopted by the corporation first.

Kentucky SOS begins processing Kentucky corporation amendments the day they are received, but it may take up to three business days to complete.

After filing articles of amendment, the Kentucky SOS will send a file stamped postcard to the principal office address. If want your documents to be sent to some address other than the principal office, submit a written request for each document that you want sent somewhere else.

Can you change the Kentucky corporation officers or directors on an amendment?

No, you can’t file an amendment to change your Kentucky corporations officers or directors. You can only change your corporations officers and directors in your annual report.

Can you change the Kentucky registered agent on the amendment?

Do not file an amendment to change your Kentucky registered agent. If you would like to update your registered office or agent information, file a Statement of Change of Principal Office Address, Registered Agent, and/or Registered Office Address form with the SOS.

Can you change the principal office address and/or the mailing address on an Corporation amendment?

You don’t file an amendment to change your corporations principal office. If you want to change the principal office, file a Statement of Change of Principal Office Address, Registered Agent, and/or Registered Office Address form with the SOS.
