Reinstate Or Revive A Missouri Corporation:

There is no form available online for reinstating your Missouri Corporation. However, if you contact the Missouri Secretary of State’s office, they will provide you with Reinstatement forms. By filing those forms, submitting a tax clearance letter (see below) and paying any fees and penalties that are due – you can have an administrative dissolution rescinded and reinstate your Missouri Corporation.

What is a tax clearance letter?

A tax clearance letter is a certificate stating that a corporation has no tax due. The certificate may be issued for all taxes or for a tax or taxes specified by the business.

How do I apply for a tax clearance?

Complete a Request For Tax Clearance form and submit it to the Missouri Department of Revenue’s Tax Clearance Unit. Once the form is completed and signed by a corporate officer it can be mailed or faxed to the tax clearance unit. If a request is faxed, it is not necessary to send the original.

How much will it cost to revive my Missouri Corporation?

To revive your Corporation in Missouri, a $55 filing fee is required. There may also be back fees for missing annual reports, late fees and/or interest payments required. After 10 years, you would have to start over with the normal Missouri Corporation filing fee.

How long does it take the state to process the filing?

In Missouri you can reinstate your Corporation within ten (10) years of administrative dissolution. After 10 years, you would have to start over and re-file.

Yes you can change your Missouri registered agent on the reinstatement, but you need an additional form (with an additional fee of $10.) You can provide an appointment of registered agent as an attachment to your Missouri Corporation reinstatement.

Yes, but it’ll cost you. You can provide an amendment form, “articles of amendment” plus the $25 fee as an attachment to your Missouri Corporation reinstatement.

Yes. You can change your officers and/or directors by providing, “articles of amendment” (plus $25) as an attachment to your Missouri Corporation reinstatement.

Keep in mind, you would only have to file the “articles of amendment” one time. Just make all of the necessary changes before you file.

How many annual reports can you miss before you can’t revive your Missouri Corp?

You can miss up to ten (10) annual reports before you can no longer revive your Missouri Corporation. If you wish to revive a business more than ten (10) years after your dissolution date, you must start over and re-file.
