Hawaii Annual Report Filing Directions

We’re Just Not Annoying®


Every Hawaii business must file an annual report once a year with the Hawaii Business Registration Division. Some entities have reduced filing fees if you file online (recommended). Hawaii annual report due dates are set according to which quarter you originally filed your company. If you originally filed in October, your report would be due by December 31st. If you originally filed in August, your due date would be September 30th. You get the idea (if not, see the table below).

You can complete the annual filing with the Hawaii Business Registration Division online, on paper, or in person. Or, if you don’t want to deal with the hassle you can hire us to complete the annual report on your company’s behalf.

Late Fees: Late reports for LLCs, For-profit Corporations, and Partnerships incur a $10.00 penalty fee annually. There are no late fees for nonprofits. Each fee listed above includes the mandatory $1.00 State Archive fee applied to all business filings in Hawaii. 


You have two options for filing your annual report in Hawaii: do it yourself or hire us.

  1. Complete the Filing Yourself
    If you’re filing yourself, save time and money by filing online. Go to the Business Registration Division Annual Reports Portal. Enter your business name. Once you find your company, select it from the results. Confirm or update the following information where appropriate:

    • Company Name
    • Principal Business Address
    • Name and address of your registered agent in Hawaii.
    • Corporations must list the names and addresses of its officers.
    • Signature of authorized person

How to file your Hawaii Business Registration Division annual report:

Hawaii has a nice online annual report filing system. Just follow the link below and enter your corporation, PC, LLC, GP, LP, LLP, or nonprofit file number. You can find your file number on your reminder postcard. If you need your file number, you can call or email the Hawaii Business Registration Division (BREG).

If you want to file a paper annual report form, you can mail it in. The forms are available on Hawaii BREG website on the “PDF Forms, Fees and Information” page. Note that the paper forms are different for each entity type. Most annual report forms can be found in your online account when you hire Northwest to be your Hawaii registered agent.

When is the Hawaii Annual Report Due?

HI Corporations, LLCs, LLLPs, LLPs, LPs and GPs must file annual reports with the Hawaii BREG by the end of the quarter you originally filed in. If you know the date you filed in Hawaii you can figure it out. Your Hawaii annual report will be due on one of the following dates:

  • March 31st
  • June 30th
  • Sept. 30th
  • Dec. 31st

Example: if you register with BREG on May 25th your first annual report will be due on June 30th of the next year and every June 30th after that.

Charities register with the Hawaii Attorney General and submit annual financial reports by the fifteenth day of the fifth month after their fiscal year end; typically May 15th. This is filed online and a link is furnished below.

Does Hawaii have initial report requirements?


Late fees?

Corporations and limited liability companies in Hawaii have to pay an additional $100 late fee for each month delinquent.

Hawaii nonprofit corporations have no late fee penalties.

Hawaii LLLPs, LLPs, LPs, and GPs have a late fee penalty of $25 per month, per partner.

All Hawaii business entities may be dissolved if they don’t file for 2 years.

If you are filing a report more than a year late, you will have to get a paper form and mail it in.

How do I get notified?

Hawaii Secretary of State sends out reminder postcards to the mailing address on file with HI BREG at the beginning of the quarter you are supposed to file in.

Who can file Hawaii annual reports?

After you start a business in Hawaii, anyone with authority can file the report.
