COVID-19 Update:

As an essential business, we’ve been blessed to stay busy. We’re open, fully operational, and committed to providing the highest level of customer service. But let’s be honest: Covid-19 sucks! While Northwest Registered Agent can’t make face masks or work on medical breakthroughs, we can help you stay in business or start a new one. For those struggling, we’ve never charged a late fee and if you’re a current customer and can’t pay your bill, that’s okay. We don’t need to adjust our systems or offer you a coupon code. If you can’t pay us—don’t—we’ll float you as long as possible. We witness our country’s resilience every day as we’ve been flooded with orders from people starting new businesses. While most of our Corporate Guides are now working remote, our efficiency has gone down, but we’ve hired 17 new people since March 1, and we’re figuring out how to hire remote workers better. We’re ramping up for the future, whatever that means for all of us. Thanks for the opportunity to help serve you along the way.

The following is a list of all the information you’ll need to include, update, and/or verify on your Iowa Biennial Report:

  • Principal address.

  • Foreign business information: state you initially formed your company in.

  • Names/address of the president, secretary, treasurer, and at least one member of the board of directors – corporations only.

  • Signature/title of the person filing the biennial report.

When you reach the “final review” page, you will have the option of printing your form OR submitting online. If you choose to file online, you must pay the filing fee with a credit card. Mailed submissions must include a check or money order.

For $100 plus the state-mandated report fee, we’ll file your biennial report. For most domestic businesses, that’s $145 total.

  • You can sign up for this service by itself or add it to an existing service inside your client account. Compliance service is also automatically added when you hire us to provide your registered agent service or form your Iowa LLC, Iowa corporation or Iowa nonprofit.
  • Once you’re signed up for our business renewal service, you’ll pay nothing up front. We’ll send you a reminder 90 days before your filing due date and auto-charge your preferred payment method five days later.

Biennial Report Service Benefits

At Northwest Registered Agent, we’re committed to protecting our clients’ privacy. Iowa Biennial Reports are public record, so we’ve designed our biennial report service to protect your privacy. Here’s how:

  1. In order to preserve your privacy, we will list OUR contact information instead of yours on the report form.
  2. Only the minimum required information will be included.
  3. We will list our IP address – limiting the connection between your cell phone, personal computer, and work computers – this makes it harder for advertisers to follow you.
  4. We will list our bank and credit card information – not yours.

We believe everyone has the right to keep their information private. That’s why privacy is our guiding principle when we create every service and product.

Iowa Biennial Report FAQ

Are there initial reports in Iowa?

No, Iowa does not require businesses to file an initial report.

When is my first Iowa Biennial Report due?

Your first Iowa Biennial Report will be due April 1 the first odd or even numbered year AFTER you form your business. So, lets say you own a corporation that was formed on April 25, 2020. This means your first Iowa Biennial Report won’t be filed until April 1, 2022. But, if you formed any other entity (nonprofit, LLC, or LP) on April 25, 2020, then your first Iowa Biennial Report must be filed by April 1, 2021.

Are there late fees or penalties if I don’t file my Iowa Biennial Report?

Iowa won’t charge you a late fee for failing to file an Iowa Biennial Report; however, your business may be administratively dissolved or revoked if no report is filed within 60 days following your due date.

How long does Iowa Biennial Report processing take?

Online filings are processed immediately. Mailed filings take 7-14 business days.

Who can file an Iowa Biennial Report?

Once you start a business in Iowa, any authorized person may file the Iowa Biennial Report. An authorized person is someone your business permits to act on its behalf. This could be someone within the business (such as a director or manager), or someone outside of the business that you hire to file your report. When you hire Northwest Registered Agent for business renewal service, we complete and file your Iowa Biennial Report for you.

Do Iowa Biennial Reports need original signatures?
