How to File Your Maryland Annual Report

To file your Maryland Annual Report, you’ll need to complete the following steps:

  1. Determine your company’s filing fee. For most domestic and foreign businesses, this will be $300. All Maryland Annual Reports are due by April 15.

Late Fees: Failing to file your annual report may result in your business being administratively dissolved. If you file your annual report after your due date, your business may be subject to the following late fees:

  • 1-15 days late: $30 minimum

  • 16-30 days late: $40 minimum

  • 31 or more days late: $50 minimum

The initial penalty fee will be 1/10 of one percent of the county assessment, or the minimum late fee, whichever is greater. The maximum initial late fee is $500; however, interest will accrue at the rate of 2% of the initial penalty amount for every 30 days you are late. Businesses with no property in Maryland will not be charged late fees, but will be at risk of administrative dissolution.

Filing Your Maryland Annual Report

You can file your Maryland Annual Report online, by mail, or in person. Either way, you’ll need to visit Maryland’s Department of Assessments and Taxation website.

To File Online:

  1. On the state website, go to the Maryland Business Express page. If you don’t already have an account, you will need to create one.
  2. Once you are logged in, you can click “Start a New Filing” and select “File Annual Report/Personal Property Tax Return” from the drop-down menu.
  3. You will be asked to enter your Department ID number, which can be found using the Business Entity Search.

When filling out the annual report, you’ll include the following information and update it if necessary:

  • Name and address of the company.
  • Name and address of your resident agent in Maryland. (You have to file a separate “Resolution to Change Principal Office or Resident Agent” form and pay an additional $25 fee if you are changing your Maryland resident agent.)
  • Names and addresses of members/managers or directors/officers.

To File by Mail or In Person:

  1. On the Maryland state website, go to Departmental Forms and Applications.
  2. Download and print the Maryland Annual Report form.
  3. Mail your report to: Maryland Department of Assessments and Taxation, Annual Report PO Box 17052 Baltimore, MD 21297-1052 OR submit your report in person at: State of Maryland – State Center 301 W. Preston Street, Room 801 Baltimore, Maryland 21201

If filing online, you must pay the fee with a credit card. There is a 3% service fee for credit card payments. If filing in person or by mail, include a check or money order.

Maryland Annual Report FAQ

Do I need to file a Business Personal Property Tax Return?

Maybe. Every Maryland business entity needs to submit an annual report, however, the Business Personal Property Tax Return is only required if you answer “yes” to the following questions (section III) on the annual report form:

A. Does the business own, lease, or use personal property located in Maryland?

B. Does the business require or maintain a trader’s (retail sales) or other license with a local unit of government?

If you answer “no,” to either of the above questions, then you won’t need to submit a business personal property tax return. Hurray! But, if you answer “yes,” then you’ll need to submit the return, and you may want to consider hiring an accountant to help you out. Unfortunately, the personal property tax return requires A LOT of time, effort, and brain power. To download the form and find a complete list of filing instructions, go to the Departmental Forms and Applications page on the state website. There is no additional fee for filing a Business Personal Property Tax Return, and it must be submitted at the same time as your annual report.

When is the Maryland Annual Report due?

All Maryland annual reports are due each year by April 15. They must be filed with the State Department of Assessments and Taxation (SDAT).

Are there late fees or penalties if I don’t file my Maryland Annual Report?

If you fail to file your Maryland Annual Report, your business will no longer be in good standing and could be administratively dissolved or revoked of its ability to conduct business in Maryland. The same is true if your business does not own property within the state. If your business owns property in Maryland, and you file after the April 15 deadline, your business will be subject to the following initial late fees:

Who can file a Maryland Annual Report?

After starting a business in Maryland, any authorized person may sign the Maryland Annual Report. An authorized person is someone the Maryland business permits to act on its behalf. This could be someone within the business (such as a director or manager), or someone outside of the business that you hire to file your report. Do Maryland Annual Reports need original signatures?
