How To Resign As A Registered Agent In Washington

To resign as a registered agent in Washington, you must submit a Statement of Resignation of Registered Agent online, by mail or in-person to the Washington Secretary of State, Corporations and Charities Division. Then, promptly give written notice to the company you had been representing of the date that the resignation was filed.

There is no fee to resign as a Washington registered agent. Documents received by the Washington Secretary of State will be processed in the order that they are received, which could take 2-3 weeks, but service can be expedited for additional fees: $50 in-person (same-day), $20 online (two business days), $50 by mail (two business days).

The Steps To Resign As A Washington Registered Agent:

  1. To resign, the Washington registered agent must submit a Statement of Resignation of Registered Agent online, by mail or in-person to the Washington Secretary of State, Corporations and Charities Division.
  2. Then, the agent must promptly give written notice of the date that the resignation was filed with the Secretary of State to the company they had been representing.

The Washington registered agent’s resignation becomes effective on the 31st day after the statement is filed with the Washington Secretary of State or when a new agent is designated by the entity, whichever comes first.

Items To Include On The Washington Resignation Of Registered Agent

The following must be on the Washington registered agent’s statement of resignation:

  1. Entity name
  2. Unified Business Identifier number
  3. Name of registered agent
  4. Street address of registered agent
  5. Optionally, mailing address of registered agent if different than the street address
  6. A statement that the registered agent resigns
  7. Date
  8. Name and signature of registered agent
  9. Name and address of the entity to which notice of the resignation will be sent
  10. Optionally, indicate the name and address to which the filing should be returned

Must The Registered Agent Notify The Company Before Filing Resignation With Washington?

No. After filing their resignation with the Secretary of State, the Washington registered agent must promptly provide written notice to the company they had been representing of the date that the resignation was filed with the state.

No. There is no fee to resign as a Washington registered agent. However, filings submitted online are automatically expedited at an additional fee of $20.

How Long Does It Take The State To Process A Washington Resignation Of Registered Agent?

If the Washington registered agent mails their resignation, it may take 2-3 weeks to process. Online and mailed filings can be expedited to two business days for additional fees: online $20, mailed $50. To expedite mailed documents, enclose the $50 expedite fee and write “EXPEDITE” in bold letters on the outside of the envelope. Filings dropped off in-person for expedited processing will be processed the same day, usually within an hour, and must be delivered by 3:30pm with an additional $50. Payment can be made via cash, check, money order or credit card (VISA, MasterCard, American Express). Make checks payable to “Washington Secretary of State”.
