How To Reinstate A Kansas LLC


Revive Or Reinstate A Kansas Limited Liability Company

Kansas allows foreign and domestic LLCs to reinstate following revocation of the articles or certificate. If an LLC is terminated for failure to file an annual report or to pay the fee, the LLC may be reinstated by submitting a Kansas Limited Liability Company Certificate of Reinstatement, the past due annual report(s), and all fees and penalties due to the SOS.  All the reinstatement documents should be submitted together in one envelope.

Submit one original in person, by mail, or by fax.  You can file for reinstatement online as well.  If you file by fax, there is an additional $20 fee.
If the LLC dissolved voluntarily, it may not file for reinstatement or revocation of the termination.

How much will it cost to revive a Kansas LLC?

To revive your business, you must include payment for each missed annual report (in addition to the $35 filing fee and $85 penalty fee).  The annual report fee varies depending on the year the report was meant to be filed.

How long does it take the state to process the filing?

Generally, LLC reinstatements can be processed in 2-3 business days.

How long does your Kansas LLC have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Kansas LLC?

Since there is no limit to the reinstatement period for Kansas LLCs, a company could reinstate, at any time after forfeiting, by paying the fees and filing the past due annual report(s).

Can I change information at the time of reinstatement?

You can easily designate a new Kansas resident agent when filing for reinstatement of a Kansas LLC. Simply list the new resident agent on the reinstatement form.

If the entity’s mailing address has changed, include the mailing address change (Form MA) with the reinstatement. If you changed the mailing address on an annual report filed with the reinstatement, you do not have to include the MA form.

How many annual reports can you miss before you can’t revive your Kansas LLC?

A Kansas LLC may file for reinstatement at any time after forfeiting its authority to do business in Kansas, even after missing annual reports for several years.
