Revive Or Reinstate A Missouri Limited Liability Company
There is no form available online for reinstating your Missouri LLC. However, if you contact the Missouri Secretary of State’s office, they will provide you with guidelines and Reinstatement forms. By filing those forms and paying any fees and penalties that are due – you can have an administrative cancelation rescinded and reinstate your Missouri LLC.

Your reinstatement application would include the following:
- State the name of the LLC and the date of its administrative cancellation.
- State that the grounds for cancellation either did not exist or have been eliminated. Include documentation to support it.
- State that the LLC name complies with Missouri regulations for LLC names. (See Revised Statutes-Missouri 347.020) (Basically, the name needs to include:
“limited company” or “limited liability company” or the abbreviation “LC”, “LLC”, “L.C.” or “L.L.C.” and can’t contain the following: “corporation”, “incorporated”, “limited partnership”, “limited liability partnership”, “limited liability limited partnership”, or “Ltd.” or any abbreviation of one of such words or any word or phrase which indicates or implies that it is organized for any purpose not stated in its articles of organization or that it is a governmental agency.)
- Include the reinstatement fee of $100, plus any additional fees as determined by the Secretary of State.
At that point, the Secretary of State will either rescind your LLC cancellation; allowing you to get back to business as though the administrative cancellation never occurred – OR – your application will be denied. You’d have a chance to find out why and go through an appeals process.

How much will it cost to revive a Missouri LLC?
To revive your Limited Liability Company in Missouri, a $100 filing fee is required. Fees for any penalties, late fees and/or interest payments may be required. After 10 years, you would just start over with the normal Missouri LLC filing fee.

How long does your Missouri LLC have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Missouri LLC?
In Missouri you can reinstate your LLC within ten (10) years of administrative dissolution. After 10 years, you would be able to start over and re-file.
Can you change your Missouri registered agent at the same time on the Missouri reinstatement?
Yes you can change your Missouri registered agent with the reinstatement, but it requires a different form, (and an additional $10 fee). You can provide an appointment of registered agent as an attachment to your Missouri LLC reinstatement.
Can you change your principal address at the same time on the Missouri reinstatement form?
Yes, but again, it requires a different form and an additional fee of $25. You can provide the form, “articles of amendment” as an attachment to your Missouri Limited Liability Company reinstatement.
Can you change your members and/or managers at the same time on the Missouri reinstatement form?
Yes, but you can’t make those changes on your reinstatement form, it’ll take an additional form and fee of $25. You’ll need to add the, “articles of amendment” as an attachment to your Missouri LLC reinstatement.
How many annual reports can you miss before you can’t revive your Missouri LLC?
You can miss up to ten (10) annual reports before you can no longer revive your Missouri Limited Liability Company. If you wish to revive a business in Missouri more than ten (10) years after your dissolution date, you must re-file.
