How to file a South Carolina Corporation Amendment:

To amend your South Carolina articles of incorporation, file two copies of the Articles of Amendment with the South Carolina Secretary of State, Division of Business Filings (SOS). The form is available on the SOS website (see link below) or in your online account when you sign up for registered agent service with Northwest. Type or print on the form in black ink.

You can submit documents to the South Carolina SOS by mail, by UPS/FedEx, or in person (between 8:30 am and 4:45 pm). The South Carolina SOS accepts cash, personal checks, and money orders. The office does not accept debit or credit cards. Checks should be payable to the Secretary of State’s Office.

Can you re-state the initial articles instead of filing an amendment?

Yes, you can file Restated Articles of Incorporation with the SOS. If you are just restating the articles, the filing fee is $10. If you include a new amendment, the filing fee is $110.

Are there any specifics you can or can’t include with a South Carolina Corporation amendment?

File articles of amendment with the SOS to change the name of a South Carolina corporation.

To make changes to the corporations address, phone number, accounting period, or list of officers, contact the Department of Revenue.

Can you change the South Carolina Corporation officers or directors on an amendment?

South Carolina corporations are not required to disclose the names of directors or officers to the Secretary of State. However, business corporations do have to submit the names of directors on the annual report that is filed with the South Carolina Department of Revenue (DOR).

Corporations can also update officer information on DOR form SC8822, Change of Address/Business Location or by sending a letter on corporate letterhead, signed by an officer, to the South Carolina DOR.

Can you change the South Carolina registered agent on the amendment?

No. To change your South Carolina registered agent, file a Notice of Change of Registered Office or Registered Agent or Both of a South Carolina or Foreign Corporation with the SOS.

Can you change the principal office address and/or the mailing address on an Corporation amendment?

No. You cannot change the corporations address by filing an amendment with the SOS. You can change the address on record by updating it on your annual tax return, submitting DOR form SC8822, Change of Address/Business Location, or sending a letter to DOR on corporate letterhead, signed by an officer.
