Late Fees: Puerto Rico penalty fees will vary. Corporations will be assessed a fee between $500 – $2000. Nonprofits will be assessed a fee between $100 and $1000. LLCs will accrue 1.5% interest each month they’re delinquent.

Filing Your Puerto Rico Annual Report

The Puerto Rico Annual Report must be submitted online through the Government of Puerto Rico website.

Here is a list of information you’ll need to include, verify, and/or update on your Puerto Rico Annual Report.

  • Business name.

  • Officer/director names, addresses, and social security numbers.

  • Resident agent name and address.

  • Financial statement. You must include a report showing the financial condition of your business for the previous fiscal year. If your total revenue is less than $3 million, your statement can be prepared by someone with general accounting knowledge. However, if your total revenue is greater than $3 million, your financial report must be audited by someone certified to practice accounting within Puerto Rico.

  • Signature of person filing the report.

Your filing fee must be paid with a credit card. LLCs will only pay the annual statement fee – they’re not required to provide any business information.

The consequences for failing to file an annual report can be severe. Although there is no set penalty fee, your business will pay between $100 – $1000 (nonprofits) OR $500 – $2000 (corporations).
