Late Fees: Puerto Rico penalty fees will vary. All for-profit businesses will be assessed for a late fee between $500 – $2000. Additionally, LLCs accrue 1.5% interest each month they’re delinquent. Nonprofits will be assessed a fee between $100 and $1000. |
Filing Your Puerto Rico Annual Report
The Puerto Rico Annual Report must be submitted online through the Government of Puerto Rico website.
- On the state website, go to the Puerto Rico Department of State – Annual Report page.
- Enter your business name or register number in the search box.
- Select your business from the search results.
- Next to the words “I want to file for this entity,” click “Next.”
Here is a list of information you’ll need to include, verify, and/or update on your Puerto Rico Annual Report.
- Business name.
- Officer/director names, addresses, and social security numbers.
- Resident agent name and address.
- Financial statement. You must include a report showing the financial condition of your business for the previous fiscal year. If your total revenue is less than $3 million, your statement can be prepared by someone with general accounting knowledge. However, if your total revenue is greater than $3 million, your financial report must be audited by someone certified to practice accounting within Puerto Rico.
- Signature of person filing the report.
Your filing fee must be paid with a credit card. LLCs will only pay the annual statement fee – they’re not required to provide any business information.

No. New businesses in Puerto Rico are not required to file initial reports.
Do Puerto Rico LLCs need to file an annual report?
No! Puerto Rico LLCs are not required to file annual reports. HOWEVER, you do need to pay a $150 annual statement fee.
What happens if I forget to file my Puerto Rico Annual Report?
The consequences for failing to file an annual report can be severe. Although there is no set penalty fee, your business will pay between $100 – $1000 (nonprofits) OR $500 – $2000 (for-profit businesses including corporations and LLCs), starting April 16th and going up on a monthly basis.
LLCs that fail to pay the annual statement fee will also be charged 1.5% interest each month they’re delinquent. Missing multiple annual report filings will also result in your business being administratively dissolved by the Secretary of State.
My Puerto Rico Annual Report is late, how can I find out my penalty fee?
You can check the status of your business through the Puerto Rico Department of State’s filing portal. Search for the name of your business on the relevant Annual Report or Annual Statement page, and select the relevant listing.
On the following page, you can choose to file for that entity, which loads a new page for the payment process. You’ll see a listing for the total fees due, plus fields to enter your information if you want to make the payment. You do not need to be logged in to access this information or to pay fees.
Can I postpone filing my Puerto Rico Annual Report or Annual Statement?
If you need additional time to file your Puerto Rico Annual Report, you can file for an extension online on or before April 15. You’ll receive an additional 60 days to file your report or pay your Annual Statement.
How long does Puerto Rico Annual Report processing take?

Who can file a Puerto Rico Annual Report?
After starting a business in Puerto Rico, any authorized person may sign the Puerto Rico Annual Report. An authorized person is someone the business permits to act on its behalf.
