Are there any weird things about registering in New York?
If your corporation is a professional corporation in New York, a Certificate of Good Standing from the appropriate Appellate Division or a Certificate of Authority (Form PLS709) under seal from the New York State Department of Education, Division of Professional Licensing Services, Corporations Unit, 89 Washington Avenue, 2nd Floor, Albany, NY 12234, must be submitted with the Application for Authority.
County filing or publication is not necessary for foreign corporations, unless specifically required by the county in which your registered agent resides.
Your name must have “corporation, incorporated, or limited” in it, or any abbreviation of those words. If it doesn’t, you’ll have to register your true legal name in your home state and then submit a New York DBA name with one of those corporate endings in the name.
Is there ongoing New York annual report and/or initial reporting requirements?
