How to Register a Foreign LLC in Michigan
To obtain foreign registration (also known as foreign qualification) in Michigan, you’ll have to submit an Application for Certificate of Authority to the Department of Licensing and Regulatory Affairs. You’ll also want to appoint a local registered agent, and obtain a certificate of good standing from your home state (or jurisdiction). Here are the steps you’ll need to take.
Your Michigan registered agent can be anyone over the age of 18, but they must have a physical address in Michigan and be available during regular business hours to accept service of process on your behalf and get them to you in a timely manner. For this reason, many companies choose to hire a company like Northwest.
Note: Our Registered Agent Service gives you a Michigan business address that will get listed on your foreign qualification paperwork, and we’re available 9 AM to 5 PM to accept important legal documents.
Before your application for foreign registration can be accepted in Michigan, you must present a certificate of good standing from your home jurisdiction. This document—also known as a certificate of existence—shows that your company is up-to-date with all its payments and filings, essentially proving your LLC is fit to do business. Processes and fees will vary state to state, but you can usually apply for a certificate online through the Secretary of State’s office (or equivalent authority) in your home jurisdiction.

According to Michigan’s tax laws (specifically MI Comp L § 205.52b), the following activities qualify as transacting business in the state:
- Hiring employees, contractors, or sales people
- Advertising or promoting sales
- Owning or leasing property

- Being involved in a legal proceeding
- Holding business meetings (regarding internal affairs)
- Having bank accounts

- Selling via independent contractor
- Soliciting orders for products or goods
- Acquiring debt in real or personal property

To withdraw your foreign business in Michigan, simply submit an Application for Certificate of Withdrawal. This means you have stopped doing business in Michigan, and thus no longer need to pay state taxes and fees.
