How to Dissolve a Wisconsin LLC
How do you dissolve a Wisconsin Limited Liability Company?
To dissolve your LLC in Wisconsin, submit Statement of Dissolution or Termination Limited Liability Company (Form 510), to Wisconsin’s Department of Financial Institutions, Division of Corporate and Consumer Services (DFI) by mail or online. Is there a filing fee to dissolve or cancel a Wisconsin LLC?
There is a $35 filing fee to file the Articles of Dissolution. If filing by mail, you can speed up processing for a $25 fee.
To expedite processing, make sure you write Expedited Processing on your mailed documents. Don’t forget to include the $25 fee.
Note: If your LLC is in delinquent status (hasn’t filed the annual report) when you file for dissolution, you have to pay all the fees you owe the DFI or they won’t process the dissolution.
How long does it take Wisconsin to process the filing?
Online filings are generally processed the same day they are received.
Mailed filings take approximately five business days (add time for mailing).
Expedited processing (add $25) speeds mail processing up to about one business day.
Do you need a Department of Taxation clearance before the Department of Commerce and Consumer Services will accept your dissolution?
The Wisconsin DFI does not require a tax clearance certificate to dissolve your LLC in Wisconsin. However, it is the LLC’s responsibility to make sure they are in compliance with the Department of Revenue’s Final Return requirement. How long before someone can take your business name?
Your business name can be taken by another business entity immediately upon dissolution. On the articles of dissolution form, you may choose an effective date of dissolution that is not more than 90 days after the date you file the document. An LLC loses the exclusive right to their name on the date of an administrative dissolution.
What is the penalty if you do not dissolve properly and just don’t file your annual reports?
If an LLC does not file an annual report (and pay the fee) within one year of its due date, DFI will determine that grounds exist for administrative dissolution. The DFI will mail the LLC a written notice and the LLC has sixty days from the time notice is received to file the annual report. If the Wisconsin LLC does not file the annual report within sixty days, the DFI will administratively dissolve the LLC.
A Wisconsin LLCs right to exclusive use of its name terminates on the date of administrative dissolution.
A Wisconsin LLC that is merely delinquent may cure its status by filing a current annual report and paying any back annual report fees. To request the appropriate forms to correct the delinquent status call the DFI at (608) 261-7577.
What are the late fees and penalties to re-register if your registration is terminated?
If your domestic Wisconsin LLC is administratively dissolved, and you want to reinstate a Wisconsin LLC, you will have to pay delinquent annual report fees as well as the $100 application fee. Filing each late LLC annual report will cost $40.
