Late Fees: Maine charges a $50 late fee for failing to submit an annual report. Nonprofits must pay a $25 late fee. In addition, your business will be at risk of being administratively dissolved or revoked of its rights to do business in Maine.

Filing Your Maine Annual Report

You can file your Maine Annual Report online or by mail.

To File Online:

  1. On the state website, go to the Annual Reports Filing page.
  2. If you have an account, click on “File and Manage Annual Reports.” Log into your account and follow the instructions to file your annual report.
  3. If you don’t have an account, click on “File a Single Annual Report.” Enter your charter number and select your business from the search results. Don’t remember your number? You can easily look it up by searching the Maine Business Database. Follow the instructions to file your annual report.

To File by Mail:

  1. On the state website, go to the Annual Reports Online page.
  2. Enter your charter number, then click “Create Form.” If you don’t know your number, you can find it by doing a business search on the Maine Business Database page.

When filling out the annual report, you’ll include the following information and update it if necessary:

  • Name and address of the company.
  • Name and address of your registered agent or clerk in Maine. (You have to file a separate “Statement of Appointment or Change of Commercial Clerk” and pay an additional $35 fee if you are changing your Maine registered agent or clerk.)

If filing online, you can pay the fee with a credit card. If mailing your form, include a check or money order.

Are there initial reports in Maine?

No, Maine does not require new businesses to file initial reports. All annual reports are due by June 1 beginning the year after forming your business.

How do I file a Maine Annual Report?

Maine annual reports can be filed online or by mail. If you choose to file online, you will need to log into your account on the Annual Reports Filing page. If you don’t have an account, you can select “File a Single Annual Report” without signing up for subscriber service. Either way, once you are logged in, you will follow the instructions and complete the report. To file by paper, go to the Annual Reports Online page and enter your business charter number. If you don’t remember your number, you can search for it on the Maine Business Database. After you enter in your charter number, click “Click Here to Search.” Select your business in the search results and print out an annual report form.

How much does it cost to file a Maine Annual Report?

When is the Maine Annual Report Due?

The Secretary of State requires all Maine corporations, LLCs, nonprofits, LLPs, and LPs to file an annual report on June 1.

Are there late fees or penalties if I don’t file my Maine Annual Report?

If you don’t file your Maine Annual Report on time, the following late fees will apply:

  • Domestic corporations, LLCs, LPs, and LLPs: $50
  • Foreign corporations, LLCs, LPs, and LLPs: $50
  • Nonprofit corporations: $25

Failing to file your annual report will also put your business into “bad standing,” which may lead to your business being administratively dissolved or revoked of its ability to conduct business in Maine. Dissolved businesses can apply to reinstate their business within 6 years of dissolution. After such time, it will be necessary to form a new Maine business.

Who can file a Maine Annual Report?

After starting a business in Maine, any authorized person may sign the Maine Annual Report. An authorized person is someone the Maine business permits to act on its behalf. This could be someone within the business (such as a director or manager), or someone outside of the business that you hire to file your report.
