You’ll need to complete the following steps to file your Massachusetts Annual Report:

Late Fees: Massachusetts only assesses corporations – foreign and domestic – a late fee ($25) for failing to file an annual report. However, all business entities will be administratively dissolved if they are delinquent for more than 2 years.

*The annual report for Massachusetts LLPs can only be submitted by mail, in person, or by fax.

Filing Your Massachusetts Annual Report

Most Massachusetts Annual Reports can be filed online or by paper. To file online or download a paper form, you’ll need to visit the Massachusetts Filing Methods page.

Note: if you own an LLP, you must create document that includes all of the required annual report information.

Filing Online:

  • Click the “File Online” link.
  • Enter your Customer ID number and PIN. If you don’t have either number, you can contact the Commonwealth of Massachusetts via email (corpcid@sec.state.ma.us) to obtain both.
  • Then, select “submit.”

Filing by Paper:

  • Click the “File by Mail or Walk in” link – follow this path for fax filings also.
  • Select the link for your specific business entity.
  • Then, under the heading “Annual Reports” click the link for your appropriate form. The annual report form will automatically appear on your screen.

Here’s a complete list of the information you’ll need to include, verify, or update on your Massachusetts Annual Report:

Corporations:

  • Business name.
  • Foreign corporation information: include the state your corporation was initially formed in.
  • Registered agent information: include their full name and Massachusetts address.
  • Principal address.
  • Board of directors, president, treasurer, secretary, and, if different, the chief executive and financial officer names and addresses.
  • Brief statement of purpose.
  • Stock information: include class, total authorized, and total issued
  • Signature, name, and title of person filing the annual report.

Nonprofits:

  • Identification number. You can find your ID number by searching the Massachusetts Business Database.
  • Business name and address.
  • Date of last annual meeting.
  • President, treasurer, and clerk or secretary information: include each individual’s name and address.
  • Name and address of all directors or officers with director powers.
  • Signature, name, and title of person filing the annual report.

LLCs:

  • Business Federal ID number.
  • Business name.
  • Principal address.
  • Massachusetts address where business records are maintained.
  • Brief statement of purpose.
  • Resident agent information: include their full name and address.
  • Managers and/or persons authorized to validate documents filed with the Massachusetts Commonwealth, Corporations Division: include full names and addresses.
  • Person(s) authorized to validate and record information regarding real property: include their full name and address.
  • Signature of person filing the annual report.

LPs:

  • Name of business.
  • Brief statement of purpose.
  • Principal address.
  • Resident agent information: include their full name and address.
  • General partner information: include each person’s name and address.
  • Contact information of person filing the annual report: include their name, address, email, and phone number.

LLPs:

  • Business name.
  • Principal address.
  • Business FEIN.
  • Brief statement of purpose.
  • Signature of person filing the annual report.

Online and faxed filings can only be paid with a credit card. In addition, faxed filings must include a Fax Voucher Cover Sheet. After entering your name, phone number, email address, and company information, the system will automatically calculate your fees.

Mail and in-person submissions must include a check or money order payable to “The Commonwealth of Massachusetts.”
