How to File Your Missouri Annual Report

To file your Missouri Annual Report, you’ll need to complete the following steps:

  1. Determine your company’s due date and fees (these vary by entity type).Missouri Corporations must file within 3 months after the anniversary month. For example, if you formed your business on June 14, then your filing period is from June 14 to September 30 each year. Don’t remember when you formed your business? You can easily find the date by searching the Missouri Business Database.Corporations have a $20 online filing fee and $45 for paper filing. Nonprofits must submit their annual report by August 31 each year and have a $10 online filing fee and $15 for paper filing.
  2. Complete your report online OR print and complete a paper form.
  3. Submit your report and filing fee to the Missouri Secretary of State.

Late Fees: Missouri will charge your business $15 for each 30 day period you fail to file an annual report. If you are delinquent for more than 90 days, your business may be administratively dissolved or revoked.

Filing Your Missouri Annual Report

You can file your Missouri Annual Report online or by mail. Either way, you’ll need to visit the Missouri Secretary of State website.

  1. On the state website, go to the Missouri Online Business Filing System page.
  2. Enter your User ID and Password. If you don’t already have an account, you will need to create one by clicking “Create Account.”
  3. Once you have logged in, click “File/Print Registration Report.”
  4. Enter your Charter Number and select “File Online” OR “Print Blank Annual Report.” If you don’t know your charter number, you can easily search for it on the Missouri Business Database.

When filling out the annual report, you’ll include the following information and update it if necessary:

  • Name and address of the company.
  • Name and address of your registered agent in Missouri. (You have to file a separate “Statement of Change of Registered Agent” form and pay an additional $10 fee if you are changing your Missouri registered agent.)
  • Names and addresses of members/managers or directors/officers.

If filing online, you can pay the fee with a credit card. If mailing your form, include a check or money order payable to the Secretary of State. Please do not send cash.

Are there initial reports in Missouri?

Yes, all new corporations and professional corporations must file an initial report within 30 days of formation.

Most businesses file their Missouri Initial Reports right after formation, so these reports are not included in our Missouri Initial Report service. However, if Northwest formed your company or is your Missouri registered agent, we will remind you of your initial report due date as well as your annual report filing date.

How much does it cost to file a Missouri Annual Report?

MO Corporations: $45 (paper), $20 (online)
MO Nonprofits: $15 (paper), $10 (online)
MO LLPs annual renewal: $105 plus $50 for each additional partner added (if applicable)
MO LLLPs annual renewal: $105

The Annual Renewal for LLPs and LLLPs must be filed each year by the anniversary date. If you don’t remember when you formed your partnership, you can easily find it by searching the Missouri Business Database. To file your annual renewal, please go to the Missouri Online Business Filing System, log into your account or create one, and complete the renewal online OR print out a form.

Who can file a Missouri Annual Report?
