Arizona Annual Report Filing Directions

We’re Just Not Annoying®


Every Arizona corporation must file an annual report once a year with the Arizona Corporations Commission. Limited Liability Companies (LLCs) in Arizona do not have an annual report filing requirement. Arizona corporations (foreign and domestic) must pay a $45 filing fee for the annual report. The Arizona corporation annual report is due by the anniversary date of the corporation’s formation or registration. You can file up to three months before your due date.

Arizona nonprofits must also file annual reports. Arizona nonprofit annual reports carry a $10 filing fee. Nonprofit reports are due to the Arizona Corporations Commission by the nonprofit’s filing anniversary date.

Beware: The Arizona Corporations Commission does not mail out reminder notices regarding your annual report. We will track it for you at Northwest if we are your registered agent in Arizona.

Late Fees: The Arizona Corporations Commission charges a $9 late fee per month for every month the annual report is late. Annual reports do take up to a month to be recorded if filed by paper, and a couple weeks if filed online, so if you’re worried about a late filing, you may want to pay the $35 expedite fee.

There are two options available to you for filing your annual report in Arizona.

  1. File the Arizona Annual Report Yourself 
    Follow the annual report link on the Arizona Corporation Commission site or at the bottom of the page and click on search by corporate name. Enter your company name in the search field and if you are eligible for online filing, you will have a “Click Here” prompt at the bottom. You will be asked to furnish your corporate address, statutory agent information, capitalization information, shareholder information, list of officers and directors, and a bankruptcy statement. Finally you will need to furnish your credit card payment information.You can also file by mail if you want to. Mailed Annual Reports take about a month to process in Arizona and filed online will take a couple weeks also. If your report is due within a few days, you should expedite your report filing for an additional fee, and that will assure processing in three or four days. Both domestic and foreign corporations file the same annual report form.
