It can be hard to find how certain states define doing business. But Nevada has outlined in their NRS 76.100 code what it means to conduct business in the state. According to the code, the state recognizes an LLC as transacting business in Nevada if the business has any of the following:
- An office within the state
- A registered agent in the state
- Pays wages to someone within the state
Activities that do NOT constitute transacting business in Nevada include, but are not limited to:
- Settling or defending lawsuits
- Holding board meetings
- Maintaining bank accounts
- Maintaining offices for the transfer of securities
- Selling goods or services through an independent contractor
- Soliciting orders (before they become contracts)
- Completing transactions in 30 days that aren’t a part of a series of transactions
- Filming motion pictures

Yes. Nevada Annual Reports are due one year from the time you register your LLC. The filing fee is $150. The Nevada Secretary of State also requires that you file an initial list of managers or members within 30 days of your initial filing—most LLCs file this together with their registration application.
The Nevada Annual Business license tax, with the Nevada Department of Revenue, is due at the same time you file your annual list or report. The filing fee is $200.
To stop doing business in Nevada, you’ll need to file Certificate of Dissolution/Cancellation Limited-Liability Company with Nevada’s Secretary of State. The filing fee is $100.
By default, LLCs are taxed as pass-through entities. This means that the LLC itself does not pay taxes. Instead, profits pass from the business to the members of the LLC, who report their share of business profits and losses on their own tax returns.
Note: LLC members must also pay self-employment taxes (15.3%) on their share of the profits. A foreign LLC can also elect to be taxed as an S-corp or C-corp.
