New Jersey LLC vs Corporation

Small business owners often prefer LLCs because they’re easier to maintain and have great tax options. Corporations are perfect for large business owners who want to sell stock and attract top investors. Plus, the well-established, defined management structure can be very appealing.

But, what about New Jersey? Any pros and cons for a New Jersey LLC vs a New Jersey corporation?

When it comes to initial filing fees and maintenance costs, there are no significant advantages to starting a New Jersey LLC versus a New Jersey corporation. The filing fee for both Public Records Filings will cost $125. In addition, both entities are required to file an annual report each year, include director/officer or member/manager information, and pay a $75 filing fee.

During tax season, both entities will get hit fairly hard. All New Jersey businesses are subject to the effective property tax—rates will depend on your county; however, the average is 2.44%. On top of this, businesses taxed as C corps will also be assessed a New Jersey corporate tax with rates between 6.5 and 9%—depending on your total net income. The minimum corporate tax is $500. In New Jersey, businesses taxed as S corps and partnerships also owe entity-level taxes. S corps will owe a minimum tax payment of $375 and most partnerships with 3 or more owners will owe a tax of $150 per member or partner. Finally, personal income tax ranges from 1.4% and 10.75%. Yes, that is a lot of taxes. Definitely something to consider when starting a New Jersey LLC or corporation.

If you want a corporation, you file New Jersey Public Records Filing:

The New Jersey Public Records Filing cost $125 with the New Jersey Division of Revenue. Once it is filed, the Public Records Filing becomes the Articles of Incorporationfor your New Jersey corporation. The requirement for a New Jersey corporation are:

  • The New Jersey corporation must have a corporate ending such as incorporated, corporation or an abbreviation thereof.
  • The duration of the corporation is “perpetual” unless otherwise stated.
  • The New Jersey corporations purpose is general unless you state a specific purpose.
  • The total shares of NJ corporation stock.
  • The name of the registered agent in New Jersey and the registered office address.
  • The name and address of at least one initial director of the New Jersey corporation.
  • The name, address, and signature of the New Jersey incorporator(s).

If you want a LLC, you file New Jersey Articles of Organization:

To form a New Jersey LLC, you will need to file a New Jersey public records filing. This filing becomes your LLC’s articles of organization. There is a $125 filing fee to form a NJ LLC.

The basic requirements of New Jersey LLC filings are:

  • The business name must have a limited liability company ending or variation of it.
  • New Jersey LLCs name must be different than already registered New Jersey companies.
  • Duration of the New Jersey LLC is perpetual unless you list a term.
  • The purpose of the New Jersey limited liability company is general unless you list a specific one.
  • The New Jersey registered agent and the physical address.
  • The NJ limited liability company’s business address.
  • The name and address of the NJ LLC organizer.
  • Any authorized representative may sign for the LLC filing.
